By accessing or using the Bindly platform, website, and related services (the "Services"), you agree to be bound by these Terms of Service. If you do not agree to these terms, you may not access or use the Services.

2. Description of Service

Bindly provides a B2B SaaS platform that enables users to generate dynamic documents, capture electronic signatures, and facilitate payment collections via third-party gateways. We provide the infrastructure for contract execution, but we do not provide legal advice. You are solely responsible for ensuring your templates and contracts are legally sound and compliant in your jurisdiction.

3. Account Responsibilities

To use the Services, you must create an account. You agree to:

  • Provide accurate, current, and complete information during registration.
  • Maintain the security and confidentiality of your password and multi-factor authentication methods.
  • Accept full responsibility for all activities that occur under your account.
  • Notify us immediately of any unauthorized access to your account.

4. Content & Ownership

You retain full ownership of all data, templates, and documents you upload to Bindly ("User Content"). By uploading User Content, you grant Bindly a limited, non-exclusive license to process, store, and transmit this data strictly for the purpose of providing the Services to you. Bindly retains all rights, title, and interest in the platform's code, design, and architecture.

5. Fees and Payment

Access to Bindly is billed on a subscription basis. By selecting a paid tier, you authorize our third-party payment processor (Stripe) to charge your provided payment method on a recurring basis. All fees are non-refundable unless otherwise required by law. Downgrading your plan may cause the loss of features or capacity.

6. Limitation of Liability

To the maximum extent permitted by law, Bindly LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use or inability to use the Services. We do not guarantee that the platform will be error-free or completely uninterrupted.

7. Termination

We reserve the right to suspend or terminate your access to the Services at any time, with or without cause or notice, including if you violate these Terms. Upon termination, your right to use the Services will immediately cease, and your isolated workspace may be scheduled for automated deletion.
